Explain what you mean by can't activate...
If it says that your comp configuration has changed enough that you need to reactivate your license of windows, they usually provide a phone number you can call to reactivate your key. If that's the case, it's all pretty painless and the MS rep will get you up and going quickly.
On the other hand, it simply may be your network settings aren't set up properly when you first installed XP. You don't have to activate XP to use it right away, you have a 30-day grace period. Once you've reinstalled and verified that you do have internet access, try reactivating then and see if it goes through.

Let it run memtest86 overnight (or while at work, school, whatever). The longer the better. If it passes multiple cycles, you're memory system is likely fine. If it errors, then you've got to start testing the sticks 1 at a time, then 2, to find the problem.....
